By creating an account, accessing, or using CXO India, you agree to:

2. Eligibility and Invitation-Only Access

2.1 Invitation Requirement

CXO India is an invitation-only platform for verified C-suite executives, board members, and senior decision-makers. Access requires:

• A valid invitation from an existing member or the CXO India team
• Verification of executive credentials
• Approval by our verification team

2.2 Account Requirements

To use CXO India, you must:

• Be at least 18 years old
• Hold a C-suite, board, or equivalent senior executive position
• Provide accurate and complete information
• Maintain the confidentiality of your account credentials

3. Account Responsibilities

3.1 Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Immediately notifying us of unauthorized access
• Enabling multi-factor authentication (recommended)

3.2 Accurate Information

You agree to:

• Provide truthful, accurate, and current information
• Update your profile to reflect changes in your professional status
• Not impersonate others or misrepresent your identity
• Not create multiple accounts

4. Acceptable Use Policy

4.1 Permitted Uses

CXO India may be used for:

• Professional networking with other executives
• Career advancement and opportunity discovery
• Executive search and talent acquisition
• Mentorship and knowledge sharing
• Business development and partnerships

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit spam, unsolicited messages, or commercial content
• Harass, abuse, or harm other users
• Share confidential information without authorization
• Use automated tools (bots, scrapers) without permission
• Attempt to gain unauthorized access to systems
• Reverse engineer or decompile the platform
• Use the platform for recruiting outside permitted channels
• Engage in fraudulent or deceptive practices

5. Intellectual Property

5.1 Platform Ownership

CXO India and all related intellectual property, including trademarks, logos, software, design, and content, are owned by CXO India or its licensors.

5.2 User Content License

By posting content on CXO India, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving the Services.

5.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by CXO India without compensation or attribution.

6. Subscription and Payment

6.1 Subscription Plans

CXO India offers various subscription tiers with different features and pricing. Current plans and pricing are available on our platform.

6.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed through Razorpay or Stripe
• All fees are non-refundable except as required by law
• You authorize automatic renewal unless cancelled
• Price changes will be communicated 30 days in advance

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

7. Privacy and Data Protection

Your use of CXO India is subject to our Privacy Policy. We are committed to protecting your data in accordance with:

• India's Digital Personal Data Protection Act, 2023
• Information Technology Act, 2000
• GDPR (for EU users)
• Industry best practices for data security

8. Confidentiality

8.1 Platform Confidentiality

CXO India includes features for confidential communication, including:

• Anonymous opportunity exploration ("Confidential Handshake")
• End-to-end encrypted messaging
• Private profile viewing options

8.2 User Obligations

You agree to respect the confidential nature of interactions on the platform and not disclose information shared in confidence without explicit permission.

9. AI-Powered Features

CXO India uses artificial intelligence for:

• Profile optimization and enhancement
• Opportunity matching and recommendations
• Career trajectory analysis
• Market intelligence and insights

AI recommendations are advisory only. Final decisions remain your responsibility. You may request human review of automated decisions.

10. Termination

10.1 By You

You may terminate your account at any time through account settings.

10.2 By CXO India

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in prohibited activities
• Provide false or misleading information
• Fail to pay applicable fees
• Pose a security or legal risk

10.3 Effect of Termination

Upon termination, your access to the Services will cease, and your data will be handled according to our Privacy Policy and data retention policies.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by law, we disclaim:

• All warranties, express or implied
• Warranties of merchantability, fitness for purpose, and non-infringement
• Guarantees of uninterrupted or error-free service
• Accuracy or completeness of content or AI recommendations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CXO India shall not be liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for user-generated content or third-party actions
• We are not liable for business losses, lost profits, or opportunity costs

13. Indemnification

You agree to indemnify and hold harmless CXO India, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of others
• Your content or conduct on the platform

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

14.3 Arbitration

Disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification 30 days in advance. Continued use after changes constitutes acceptance.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CXO India.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms at any time.
